This page explains our terms of use. When you use the AltSchool Open Questionnaire, you’re agreeing to all the terms on this page. These terms of use contain a lot of important legal information, so we’ve created these non-contract blurbs at the beginning of each section to summarize what is going on in the legal language. Please don’t just read these blurbs, because you are agreeing to the legal terms when you use the website. The blurbs are not part of the official legal terms.

This Terms of Use Agreement (“Agreement”) constitutes a legally binding contract between AltSchool, PBC, a Delaware public benefit corporation (“AltSchool,” “we,” “us,” “our”) and you with respect to your use of the AltSchool Open website (the “Website”). It is important that you carefully read and understand the terms and conditions of this Agreement. By using the Website, you agree to be bound by this Agreement. If you do not agree to these terms and conditions, please do not use the Website.

 

Submissions

You own the content you submit through the Questionnaire. By submitting content on the Questionnaire, you’re giving us permission to use it. Please don’t provide content that doesn’t belong to you. Please don’t submit identifying information about other people without their permission. We do not guarantee that any relationship will result between you and AltSchool when you submit content.

As part of your use of the Website, you may submit information related to your background, your vision for a microschool, and/or any other information in response to the prompts on the AltSchool Open inquiry form (“Content”). Subject to the AltSchool Privacy Policy (which may be found at https://www.altschool.com/privacy-policy), Content will not be treated as private, proprietary or confidential, and you hereby grant AltSchool and AltSchool’s affiliates, officers, agents, employees, licensees and sublicensees a non-exclusive license (with right to sublicense) to use, copy, adapt, modify, transmit, create derivative works of, reproduce, incorporate, distribute, publish, publicly display, publicly perform or otherwise use or exploit such Content, without compensation to you or others, throughout the world in any format or media (whether now known or hereafter created) for the duration of any copyright or other rights in such Content, and such permission shall be perpetual and may not be revoked for any reason. Further, to the extent permitted under applicable law, you waive and release and covenant not to assert any moral rights that you may have in any Content posted or provided by you.

AltSchool acknowledges and agrees that you, or your licensors as applicable, retain ownership of any and all copyrights in the Content, subject to the non-exclusive rights granted to AltSchool in the paragraph above, and that no ownership of such copyrights is transferred to AltSchool under these terms.

By providing any Content on the Website, you represent and warrant to AltSchool that you own or have the right to use and permit us to use and license such Content in the manner stated in this Agreement.

You agree not to post or provide any Content that belongs to any person other than yourself or that contains the name, voice or likeness of any person other than yourself unless you first obtain permission to do so, and to grant to us the rights granted in this Agreement, from that person.

You further agree that we may use any Content that you post or provide in any manner that we deem appropriate or necessary. We reserve the right to edit or abridge any Content for any reason.

You understand and acknowledge that by submitting Content, you agree that AltSchool does not promise any particular relationship or partnership between AltSchool and any third parties through the Website or otherwise. AltSchool may follow up to explore collaboration with all, some, or none of the individuals submitting Content through the Website.

You agree that we may send you communications (via email) regarding your use of the Website and the AltSchool Open inquiry form.

 

No Use by Individuals Under 18

To use this website you must be 18 years or older.

By accessing or using the Website, you affirm that you are at least 18 years of age. You represent that you are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in this Agreement. The Website is not directed to children under 13, so if you are under 13 years of age, you are not permitted to access or use the Website.

 

Use of AltSchool Name, Logo, and Content

You may not use AltSchool's name, logo, or any of AltSchool's proprietary content without AltSchool's prior written consent.

All AltSchool trademarks and service marks, logos, slogans, taglines, and copyrighted content are the property of AltSchool. Nothing herein should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademarks, service marks, logos, slogans, taglines, or copyrighted content displayed on the Website or any other AltSchool website or materials without the prior consent of AltSchool specific for each use.

 

Terms & Termination

These terms are effective until you or we terminate the agreement. We need to be able to maintain control over what happens on this website, so we reserve the right to make all decisions related to the website (including modifying or discontinuing the website).

This Agreement is effective from the date that you first access the Website or submit any information to AltSchool, whichever is earlier, and shall remain effective until terminated in accordance with its terms. We reserve the right at any time and from time to time to modify, discontinue, temporarily or permanently, the Website, or any part or portion thereof, with or without notice to you. You agree that we shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Website, or any part or portion thereof. Nothing in this Agreement shall be construed to obligate AltSchool to maintain and support the Website, or any part or portion thereof, during the term of this Agreement.

 

Severability

If any of these terms is found invalid for any reason, the remaining valid terms will still be binding.

The failure of AltSchool to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision. In the event that any provision of this Agreement is held to be invalid or unenforceable, then that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of this Agreement will remain in full force and effect.

 

Limitation of Liability

If something bad happens as a result of your using this website, we're not liable.

NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY OF ANY KIND, NEITHER ALTSCHOOL NOR ANY OF ITS LICENSORS, SPONSORS, AGENTS, SUCCESSORS, OR ASSIGNS, NOR OUR OR THEIR DIRECTORS, OFFICERS, EMPLOYEES, CONSULTANTS, OR OTHER REPRESENTATIVES, ARE RESPONSIBLE OR LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES (INCLUDING WITHOUT LIMITATION ANY LOSS OF PROFITS, LOST SAVINGS, OR LOSS OF DATA) OR LIABILITIES UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY, OR OTHER THEORY ARISING OUT OF OR RELATING IN ANY MANNER TO THE WEBSITE, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES OR LIABILITIES. YOUR SOLE REMEDY WITH RESPECT TO THE WEBSITE IS TO STOP USING THE WEBSITE, AS APPLICABLE.

SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES AND/OR LIABILITIES, SO CERTAIN OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.

 

Dispute Resolution/Governing Law

Any disputes with us need to be handled in San Francisco under California law. We believe that arbitration is the best way to fairly and efficiently solve problems. You agree to resolves disputes through a neutral and binding arbitration process.

This Agreement shall be governed by and construed in accordance with the laws of the State of California, excluding that body of law relating to conflict of laws. For any dispute you have with AltSchool, you agree to first contact us and attempt to resolve the dispute with us informally. If AltSchool has not been able to resolve the dispute with you informally, we each agree that any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be submitted to final and binding arbitration to be held in San Francisco County, California, before a single neutral arbitrator in accordance with JAMS’s Comprehensive Arbitration Rules and Procedures.
